Welcome to the PCL Services (the “Services”). This Agreement is entered into between Kunbyte (Hangzhou) Intelligent Technology Co., Ltd. (“we,” “us,” or “our”) and you by way of your online click-to-accept consent.
1. Acceptance and Amendment of the Agreement
- Explicit Informed Consent: When you actively check the box stating “I have read and agree to the User Service Agreement and Privacy Policy” during registration or login and successfully log in, you are deemed to have fully read, understood, and accepted all terms of this Agreement. This platform adopts an explicit informed consent mechanism in which the checkbox is unchecked by default and must not be pre-selected.
- Dynamic Amendments to Terms: We reserve the right to modify this Agreement at any time. If any material changes are made, we will notify you by pop-up window or other prominent notice when you next log in to the platform. If you choose to continue using the Services, you will be deemed to have accepted the revised Agreement. If you do not agree to the revised Agreement, you must stop using the Services and may apply to cancel your account.
2. Account Registration, Eligibility, and Prohibited Conduct
- Eligibility: This platform is primarily intended for B2B enterprise users and adult individual users with full civil capacity. You confirm that you are at least 18 years old at the time of registration (or the age of legal majority in your country/region). If we discover that a person under the age of 18 has registered, we reserve the right to terminate that account.
- Data Minimization and Password Security: To protect your privacy, this platform only requires your name and email address to activate your account. Your name will be used for course certificates and teacher identification, and your email address will be used for login and notifications. We will not require you to provide non-essential information such as your phone number or ID number. After an account is successfully imported or created, the system will assign a default temporary initial password.
You understand and agree that, upon your first login, the front-end system will enforce a strict access block, and you must immediately change the initial password in order to activate full account functionality. You are fully responsible for maintaining the confidentiality of your account password and must not disclose it to any third party.
- Prohibited Conduct (Anti-Abuse Rules): When using the Services, you must comply with applicable local laws and regulations. You expressly represent, warrant, and agree that: you are strictly prohibited from using any bot software, crawler software, or any other automated technical means to call this platform’s API interfaces unless expressly authorized by us in writing; and you are strictly prohibited from attempting to bypass the role-based access control (RBAC) architecture to access data belonging to other users.
3. Course Content and Rules for the Use of AI-Generated Tools
- Ownership of Content: This platform allows teachers to publish courses and students to study courses. Any course materials, lecture notes, or Q&A content that you independently publish or upload to this platform shall remain the intellectual property of the original publisher.
- Disclaimer for AI-Generated Content: This platform provides users with AI-assisted content generation and synthesis functions for teaching support, including images, videos, texts, and other materials. All teaching or design materials automatically generated by the AI system are produced based on probabilistic algorithmic principles. We do not guarantee the absolute originality, accuracy, or fitness for a particular commercial purpose of any AI-generated content.
- Obligation of Copyright Review and Labeling:
a. Copyright Review: AI-generated content carries an objective risk of being identical or similar to existing third-party works. Before formally using AI-generated materials in course instruction, teachers, and before using generated content for commercial design, students, shall independently conduct copyright checks and compliance assessments.
b. Compliance and Limitation of Liability: Any third-party intellectual property infringement, reputation-right dispute, or resulting legal liability for damages arising from the use of AI-generated content shall be borne solely by the independent user operating such function, and this platform shall bear no liability for compensation. Where applicable law does not permit complete exclusion of this platform’s liability, such liability shall be limited to the minimum extent permitted by law.
c. Log Retention: The system will automatically retain technical logs relating to your use of AI tools and downloading of materials in accordance with law, for a retention period of no less than six months.
4. Subscription, Payment, and No-Refund Policy
- Secure Settlement Through Third-Party Gateways: All paid modules, seat subscriptions, or software license services on this platform are processed through authorized third-party payment gateways, including PayPal, Stripe, GoPay, and others. You agree to bear any region-specific statutory taxes and fees associated with the transaction.
- Notice Regarding Refund Restrictions: You fully understand and agree that digital services sold online by this platform, including SaaS seat quotas and online course subscriptions, generally do not support no-reason refunds. However, if the consumer protection laws of your country or region of habitual residence mandatorily grant you a statutory cooling-off period or a right of withdrawal without cause, we will strictly comply with such laws and process your refund within the statutory period.
Except for the statutory circumstances described above, for any service access already activated or any course already paid for, if the service is not unavailable due to technical reasons attributable to this platform, we reserve the right to reject your refund request. If you have any questions regarding charges or refunds, please contact [ ], and we will respond within 15 business days.
5. Limitation of Liability and Governing Law
- Disclaimer: To the maximum extent permitted by law, we shall not be liable for any system interruption or delay in performance caused by force majeure, including but not limited to backbone network failures, telecommunications infrastructure collapse, or large-scale outages of third-party payment gateways such as Stripe or PayPal. This clause does not exclude liability arising from our intentional misconduct or gross negligence.
- Jurisdiction: The formation, performance, and interpretation of this Agreement shall be governed by the laws of the People’s Republic of China, without regard to its conflict of laws rules. Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly consultation. If such consultation fails, either party shall have the right to submit the dispute to the competent People’s Court with jurisdiction over the domicile ofKunbyte (Hangzhou) Intelligent Technology Co., Ltd. (Hangzhou) for litigation.
6. Language of the Agreement
This Agreement is written in both Chinese and English. In the event of any inconsistency between the two versions, the [Chinese/English] version shall prevail. We will provide the English version for download on the platform settings page.
